1. Acceptance of Terms:
By creating an account, accessing, or using the SmileForge platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into this agreement on behalf of a legal entity (such as a Dental Service Organization or Clinic), you represent that you have the authority to bind that entity.
If you do not agree to these Terms, you may not access the Service.
2. Medical & Clinical Disclaimer (Critical):
SmileForge is a visualization and communication tool, NOT a diagnostic medical device.
By using this Service, you acknowledge and agree that:
Aesthetic Only: The images and simulations generated by SmileForge are for aesthetic illustration purposes only. They are intended to facilitate communication between the clinician, patient, and laboratory.
No Guarantee of Result: The AI simulation represents a potential outcome. It does not guarantee that the final biological restoration will match the pixel generation exactly.
Clinician Responsibility: The prescribing dentist retains full, sole, and final responsibility for:
Diagnosis and treatment planning.
Verifying the biological viability of the proposed restoration.
Ensuring the final Laboratory Prescription (PDF) contains accurate clinical data (Stump Shade, Material, Prep Design).
Liability Waiver: SmileForge Inc. is not liable for clinical failures, remake costs, manufacturing errors, or patient dissatisfaction resulting from the use of our visualizations.
3. Account Usage & License Restrictions:
SmileForge grants you a limited, non-exclusive, non-transferable license to use the Service. This license is subject to strict usage limits to prevent fraud and unauthorized sharing.
3.1 The "Named User" Policy
A "User License" (Solo or Professional) is valid for one specific individual operating at one physical location. You may not share your login credentials with clinicians at other office locations, even if they are owned by the same parent company.
3.2 Device Concurrency Limits
To protect our infrastructure and revenue, SmileForge enforces a strict 2-Device Limit per user account.
We utilize device fingerprinting to track active sessions.
If a third device attempts to log in, the oldest session will be automatically terminated.
Prohibited Action: You may not use VPNs, proxies, or automation tools to bypass these limits.
3.3 The "Visual Lock"
The "Practice Name" entered during onboarding is permanently hardcoded onto all application headers and exported assets (PDFs/Images).
You agree not to modify, crop, or obscure the SmileForge watermarks or the hardcoded Practice Name on exported assets.
Using an account registered to "Clinic A" to generate assets for "Clinic B" is a violation of these Terms and grounds for immediate termination.
4. Subscriptions, Billing, and Cancellation:
4.1 Payment Terms
Subscription: Fees are billed in advance on a monthly or annual basis.
Renewal: Subscriptions automatically renew at the end of each billing cycle unless canceled.
Enterprise Contracts: For DSO clients, terms defined in a separate Master Service Agreement (MSA) supersede these online billing terms.
4.2 Cancellation & Refunds
Cancellation: You may cancel your subscription at any time via the "Settings" dashboard. Your access will continue until the end of the current billing period.
No Refunds: SmileForge operates on a "No Refund" policy for partial months or unused annual terms.
Exceptions: If a technical error on our end prevents you from using the service for more than 72 consecutive hours, you may request a pro-rated credit.
5. User Content & Data Rights:
5.1 Patient Data (PHI)
You represent and warrant that you have obtained all necessary patient consents (including HIPAA authorization) before uploading patient photographs to SmileForge.
Ownership: You retain full ownership of your patient data and clinical records.
Processing: You grant SmileForge a worldwide, royalty-free license to host, process, and display this content solely for the purpose of providing the Service to you.
5.2 Marketing Usage
SmileForge will not use your specific patient "Before & After" images in our public marketing materials without your explicit written permission or a separate release form.
6. Intellectual Property:
The SmileForge platform, including but not limited to the AI generation algorithms, "Gatekeeper" logic, source code, and "Perfect PDF" layout, is the proprietary property of SmileForge Inc.
You may not reverse engineer, decompile, or attempt to derive the source code of the Service.
You may not build a competitive product using knowledge derived from our Service.
7. Limitation of Liability:
To the maximum extent permitted by law, SmileForge Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
Cap on Liability: In no event shall SmileForge’s total liability exceed the amount you paid to SmileForge in the twelve (12) months prior to the claim.
